Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Coachline, an SMS-based AI running coach service operated by Yellow Brick Ventures LLC ("Coachline," "we," "us," or "our"), including our website at coachline.ai (collectively, the "Service").

By signing up for or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old (or the age of legal majority in your jurisdiction, if higher) to use Coachline. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. Coachline relies on your self-reported age at signup and does not independently verify age; providing false age information is a violation of these Terms.

Geographic availability: Coachline is currently offered only to individuals located in the United States and requires a U.S. mobile phone number for SMS delivery. We may expand availability to other countries in the future, at which point this section will be updated.

2. The Service

Coachline provides AI-generated running coaching delivered primarily via SMS text message, including personalized training plans, check-ins, plan adjustments, and motivational messaging. The Service may integrate with third-party platforms such as Strava to incorporate your activity data into your coaching experience.

Coachline is a software product. It does not employ human coaches to review every message, and coaching guidance is generated by an AI system based on the information you provide.

2.1 AI-Generated Coaching Disclosure

You acknowledge and agree that:

  • Your training plans, check-in responses, and coaching messages are generated by an artificial intelligence system (currently built on models provided by Anthropic), not by a human coach, unless we explicitly tell you otherwise.
  • Messages are not reviewed by a human before being sent to you in the ordinary course of the Service.
  • AI-generated guidance may occasionally be inaccurate, generic, or fail to account for information you have not explicitly shared with Coachline.
  • You should use your own judgment when following any recommendation and are responsible for how you act on it.

3. SMS Consent and Communications

By providing your phone number, you consent to receive recurring automated SMS messages from Coachline as described in our Privacy Policy, including training plans, check-ins, and account-related messages.

  • Message frequency varies based on your plan and engagement.
  • Message and data rates may apply.
  • Reply STOP to opt out at any time; reply HELP for support.
  • Opting out of SMS messages may limit or disable your ability to use the Service, since SMS is our primary delivery method.

4. Not Medical Advice; Assumption of Risk

Coachline is not a medical service and does not provide medical advice, diagnosis, or treatment. Training plans, pacing guidance, and injury-related messaging are generated for general fitness purposes only and are not a substitute for consultation with a physician or other qualified healthcare provider.

Running and physical training carry inherent risks, including risk of injury. By using the Service, you acknowledge and agree that:

  • You are voluntarily participating in physical activity based on guidance from an AI system.
  • You should consult a physician before beginning any new training program, particularly if you have a pre-existing medical condition.
  • You are solely responsible for evaluating whether Coachline's guidance is appropriate for your individual health circumstances, and for stopping activity and seeking medical attention if you experience pain, injury, or symptoms of concern.
  • Coachline is not liable for injuries, health complications, or damages arising from your participation in training activities recommended or facilitated by the Service.

If you indicate a potential injury or emergency through the Service, Coachline may provide general safety guidance, but this is not a substitute for emergency medical services. In case of a medical emergency, call your local emergency number immediately.

5. Third-Party Integrations

If you connect Strava or another third-party platform, you authorize Coachline to access data from that platform as permitted by your account settings. Your use of third-party platforms is governed by their own terms and privacy policies. Coachline is not responsible for the availability, accuracy, or practices of third-party services.

6. Subscriptions and Payment

  • The Service requires a paid subscription.
  • Payments are processed by our third-party payment processor, Stripe. By subscribing, you agree to Stripe's terms of service in addition to these Terms. Coachline does not store your full payment card details.
  • Subscription fees will be disclosed prior to purchase and billed on a recurring basis (monthly or annually) until cancelled.
  • You may cancel your subscription at any time; cancellation will take effect at the end of the current billing period.
  • Fees are non-refundable except as required by law or as otherwise stated at the time of purchase.
  • We reserve the right to change pricing with advance notice to active subscribers.

7. User Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer, disrupt, or interfere with the Service's operation
  • Provide false information that could compromise coaching safety (e.g., false injury or health status)
  • Use the Service to harass, abuse, or send unauthorized messages through Coachline's infrastructure

We reserve the right to suspend or terminate accounts that violate these Terms.

8. Intellectual Property

The Service, including its software, AI models, training methodologies, and content, is owned by Coachline and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED COACHING GUIDANCE WILL BE ACCURATE OR SUITABLE FOR YOUR INDIVIDUAL CIRCUMSTANCES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACHLINE AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO COACHLINE IN THE 12 MONTHS PRIOR TO THE CLAIM, OR $100 USD IF YOU HAVE NOT MADE ANY PAYMENTS.

Some jurisdictions do not allow certain liability limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold Coachline harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using the Service and request account deletion at any time by contacting us or replying STOP to opt out of SMS. We may suspend or terminate your access to the Service at our discretion, including for violation of these Terms. Data handling upon termination is governed by Section 7 of our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Jackson County, Missouri, and you consent to personal jurisdiction in those courts.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Coachline regarding the Service, and supersede any prior agreements or understandings, whether written or oral.

16. Force Majeure

Coachline is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to outages or failures of third-party providers (such as Twilio, Anthropic, Railway, Cloudflare, or Stripe), natural disasters, acts of government, acts of terrorism, cyberattacks (including ransomware or denial-of-service attacks), pandemic-related disruptions, or internet service disruptions.

17. Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, financing, or sale of assets.

18. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing to be effective.

19. Changes to These Terms

We may modify these Terms from time to time. We will notify you of material changes via SMS or email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
